Affiliation Oversight Committee

Purpose
The AOC’s purpose is to assist the Board in its oversight of the District’s collaboration with UCSF Health (UCSF), including the review of progress made towards the goals of the Collaboration Agreement (the Agreement) entered into by the District and UCSF in December of 2020. The AOC will coordinate with and review the progress of the Joint Operations Committee (the JOC) in the process of updating and making recommendations to the District Board on all decisions relating to the affiliation between the two organizations.

Finance and Audit Committee

The Finance and Audit Committee reports to the Sonoma Valley Health Care District Board of Directors, and is in charge of overseeing management of finances to ensure that the hospital be financially sustainable. The Board looks to the Finance Committee to ask questions; to ask for analysis; to track projects over time; and to look at the month-to-month financials and help plan the annual budget.

Governance Committee

Consistent with the Mission of the District, the Governance Committee (GC) reports to the Sonoma Valley Health Care District Board of Directors and helps ensure the Board is well-organized, effective, and able to carry out its fiduciary, policy-making, and oversight responsibilities. The GC reviews and recommends governance policies, supports the annual Board self-assessment, reviews the composition of Board committees, and reviews and recommends Board action on governance matters brought before the Board. The GC reports to the Board and does not have authority to act on behalf of the District.

  • Its configuration is appropriate;
  • Necessary evaluation and development processes are in place;
  • Its meetings are conducted in a productive manner;
  • Its fiduciary obligations are fulfilled.

The GC shall assist the Board in its responsibility to ensure that the Board functions effectively. To this end the GC shall:

  • Formulate policy to convey Board expectations and directives for Board action;
  • Make recommendations to the Board among alternative courses of action;
  • Provide oversight, monitoring, and assessment of key organizational processes and outcomes.
  • Take action on behalf of the Board when prompt action is necessary regarding pending legislation (state or federal) that affects the District/Hospital.

The Board shall use the GC to address these duties and shall refer all matters brought to it by any party regarding Board governance to the GC for review, assessment, and recommended Board action unless that issue is the specific charge of another Board Standing Committee. The GC makes recommendations and reports to the Board. It has no authority to make decisions or take actions on behalf of the District, except for legislative and/or regulatory issues requiring prompt action.

Quality Committee

The Quality Committee reports to the Sonoma Valley Health Care District Board of Directors and serves as the Board’s steward for overall quality improvement for the District. The Quality Committee assists the Board in its responsibility to ensure that the Hospital provides high-quality patient care, patient safety and patient satisfaction. Specifically, the Quality Committee provides oversight, monitoring and assessment of key organizational processes, outcomes and external reports; makes recommendations concerning physician credentialing and other oversight activities; and recommends appropriate Board policies. In addition, the Board looks to the Quality Committee to review, assess and recommend Board action for all quality matters brought before the Board.
